The terms on which schools and their users may use Infoiles Ed.

They are written for an Indian SaaS in which school customers are the contracting parties and, for school data, Infoiles acts as the processor on the school's instructions. Please read them alongside our Privacy Policy.
1 Acceptance of terms
By accessing this website or using the Infoiles Ed platform, you agree to be bound by these Terms and by our Privacy Policy. If you are using the platform on behalf of a school, you accept these Terms for that school. If you do not agree, do not use the website or the service.

3 Description of the service
Infoiles Ed is an all-in-one school-management platform built for Indian schools. It covers, among other things, admissions and student records, fees and accounting, attendance, marks and report cards, certificates, staff and timetables, online classes, and a parent & student web portal. The web portal is live today; a dedicated native mobile app is on our roadmap and is not yet released.
The Service is provided on a subscription basis. Features may be added, changed or removed as the platform evolves; we aim to give reasonable notice of material changes that affect how schools use the Service.
4 Accounts, eligibility & school authorisation
Accounts are provisioned for schools and their authorised staff and students. The School authorises its Users, decides their level of access, and is responsible for their use of the Service.
- The person accepting these Terms on behalf of a School confirms they have the authority to bind that School.
- Each User is responsible for keeping their login credentials confidential and for activity under their account.
- The School is responsible for ensuring its Users (staff, students and guardians) comply with these Terms.
- We may suspend an individual account where reasonably required to protect the Service or other Users (see clause 13).
5 Acceptable use
You agree not to use the Service unlawfully or in a way that harms the Service, Infoiles or others. In particular, you must not:
- use the Service for any unlawful, infringing, fraudulent or abusive purpose;
- attempt to breach, probe or circumvent the security of the Service, or access data you are not authorised to access;
- scrape, harvest or extract data by automated means, or attempt to disrupt or overload the Service;
- share or expose login credentials, or allow unauthorised persons to access the Service; or
- upload content that is unlawful, infringes others' rights, or that you do not have the right to provide.
6 Fees & billing (for school customers)
The Service is priced per student on an annual plan, agreed with each School. The applicable fees, billing cycle and any taxes are set out in the order or agreement with that School.
- Fees are invoiced as agreed with the School; goods and services tax (GST) applies [as applicable].
- Consequences of late payment or non-payment (including suspension) are as set out in the School's agreement [per agreement].
7 Intellectual property
Infoiles owns and retains all rights in the platform, its software, design and the Infoiles and Infoiles Ed brands. Schools retain ownership of their own data and Content.
- We grant the School and its Authorised Users a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.
- The School grants Infoiles the limited rights needed to host and process its Content solely to operate and provide the Service (see clause 8).
- Nothing in these Terms transfers ownership of either party's intellectual property to the other.
8 Data protection
Personal data is handled in accordance with our Privacy Policy. For school-side data (students, guardians, staff, attendance, fees, documents and Aadhaar-linked identity), the School is the data controller (fiduciary) and Infoiles is the processor, acting on the School's documented instructions. For marketing and contact-form data, Infoiles is the controller.
Each party agrees to meet its respective obligations under the DPDP Act 2023. Consistent with our security posture, Aadhaar is never stored in full (only a masked form and the last four digits are retained), and no card data is stored on our systems - online payments use CCAvenue's hosted checkout.
9 Third-party services
The Service relies on third parties, each governed by its own terms:
- DigiLocker (Meri Pehchaan) - optional Aadhaar identity verification.
- CCAvenue - online fee payments via a hosted checkout.
- LiveKit - media for self-hosted live online classes.
- Our hosting / infrastructure provider - [hosting provider].
Infoiles is not responsible for outages, changes or actions of third-party services that are beyond its reasonable control.
10 Warranties & disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free or free from all vulnerabilities, or that it will meet every requirement. [Counsel to calibrate the precise warranty language.]
11 Limitation of liability
To the extent permitted by Indian law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data arising from these Terms or use of the Service. Each party's aggregate liability is capped as set out in the agreement [per agreement]. Nothing in these Terms excludes liability that cannot lawfully be excluded.
12 Indemnity
The Customer agrees to indemnify and hold Infoiles harmless against claims, losses and expenses arising from the Customer's unlawful use of the Service, its breach of these Terms, or its breach of its data-protection obligations. [Mutual scope and carve-outs per counsel.]
13 Suspension & termination
We may suspend or terminate access to the Service for non-payment, breach of these Terms, or unlawful use, with notice where reasonably practicable.
- A School may terminate as set out in its agreement.
- On termination, school data is exported, returned or deleted in line with our Privacy Policy and the School's agreement [data-handling specifics per agreement].
- Clauses that by their nature should survive termination (for example intellectual property, liability and governing law) continue to apply.
14 Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at [jurisdiction city], India, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
15 Changes to terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the latest version. Continued use of the Service after changes take effect means you accept the updated Terms; material changes will be notified [how - e.g. email / in-app notice].
